Board of Directors Meeting Minutes 

Tuesday, June 10, 2008

Present: Guest Jim Todd, Sue Ammeter, Bonnie Bolster, Kay Harper, Julie Duke, Kaheya Cunningham, Pat Teal, Lynn Gressley

Minutes of the May Board meeting were approved.

The Board unanimously approved Julie Duke, Lynn Gressley and Pat Teal for new two-year terms as Directors.

THE BOARD DISCUSSED A PROPOSED AMENDMENT TO THE BYLAWS TO DESIGNATE A LENGTH OF TERM OF TWO YEARS FOR OFFICERS WITH THE POSSIBILITY OF ADDITIONAL TERMS.

Following is proposed text for amendment of the Bylaws to be acted on at the July meeting.

Article 6. Officers

1. Number and Qualifications. The officers of the organization shall be a President, one or more Vice Presidents, a Secretary and a Treasurer, each of whom shall be elected by the Board for a two year term. Officers may serve additional terms at the discretion of the Board. Other officers and assistant officers may be elected or appointed by the Board, such officers and assistant officers to hold office for such period, have such authority and perform such duties as are provided in these By-Laws or as may be provided by resolution of the Board. Any officer may be assigned by the Board any additional title that the Board deems appropriate. Any two or more offices may be held by the same person, except the offices of President and Secretary.

Public Access

Jim Todd presented background on the proposed Pedestrian Safety Ordinance which is currently in the General Services Committee of the City Council. Individual members of the Board expressed concern about supporting Jim’s position of no bikes on sidewalks anywhere in the City. The Board will discuss this issue further to determine if DASH wishes to take an official position.

The Jefferson County Port Authority is developing a five year strategic plan and DASH has not been officially invited to participate in the process. We will explore this further to see how we can contribute to developing more accessible programs and facilities at the Port.

Treasury/Fundraising 

The current balance in our account is $2109.52.
The required documentation is available to Bank of America to certify Bonnie Bolster as a designated signer of Bank financial instruments.
